ESMA Clarifies OTC Derivatives Reporting and Tick-Size…

The updated manual adds guidance for identifying OTC derivatives and consolidates tick-size Q&As, while one section remains draft pending technical standards.

ESMA has updated its post-trade transparency manual with guidance on identifying over-the-counter derivatives subject to transparency requirements and recommendations for applying the tick-size regime.

The update addresses two separate implementation questions. It explains how identifying reference data for OTC derivatives should be supplied for transparency purposes, with the stated aim of improving consistency in information reported to and published through the consolidated tape. It also brings published tick-size Q&As into the manual and recommends circumstances in which trading venues and national competent authorities may intervene.

Reference Data Guidance Is Not Yet Final

ESMA says the manual’s guidance on identifying reference data for OTC derivatives should be treated as a draft until related technical standards enter into force. Those standards include RTS 2 and the standards covering consolidated tape provider input and output data. That qualification matters for firms building reporting processes: the manual signals the regulator’s intended approach, but the reference-data section is not presented as final while the underlying standards remain outstanding.

OTC derivatives trade across a fragmented network of venues and counterparties. Consistent identifiers help regulators, data providers and market participants connect a reported transaction with the relevant instrument. If firms use different or incomplete reference data, the consolidated view can be harder to compare and less useful for monitoring prices and activity.

The consolidated tape is designed to make post-trade information easier to access across trading venues and reporting channels. ESMA’s selection of Etrading Software as the EU’s OTC derivatives tape provider was an earlier step in that project, as FinanceFeeds reported. The new manual addresses the quality and classification questions that determine whether information can be aggregated consistently.

    Tick-Size Guidance Focuses on Convergence

Tick size is the minimum price increment at which an instrument can be quoted or traded. The regime can affect how orders are displayed, the granularity of price competition and the operation of trading systems. ESMA’s updated manual incorporates Q&As and adds recommendations intended to encourage more consistent application by venues and national authorities.

The regulator says its recommendations cover situations in which venues and competent authorities may intervene. The manual does not describe a general suspension of the regime or a broad change to the tick-size framework. Market participants should therefore distinguish the new supervisory guidance from any separate amendment to binding technical rules.

ESMA has previously published transparency calculations for equities and equity-like instruments, including data used to determine the most relevant market and parameters related to tick sizes. That annual calculation process illustrates how market data feeds into the application of MiFID II and MiFIR requirements. The latest manual seeks to give firms and supervisors a more consistent reference for applying those requirements across markets.

    Implementation Depends on the Standards

For trading venues, investment firms and data providers, the immediate task is to review the manual’s clarifications and identify any gaps in instrument identification or tick-size procedures. The practical timing of changes to OTC reference data depends on the related technical standards. Firms should avoid treating the draft section as a substitute for those standards or as a definitive final reporting specification.

The update is part of a wider effort to make European market information more comparable and usable. MiFIR’s consolidated-tape programme is intended to reduce fragmentation in access to post-trade data, but its value will depend on accurate input, consistent identifiers and clear supervisory expectations. ESMA’s text addresses those operational foundations rather than announcing a new data service or a change in trading hours.

The manual is also a supervisory convergence tool. By collecting Q&As and recommendations in one document, ESMA is giving national authorities and venues a common reference point. The remaining uncertainty is limited but material: OTC reference-data guidance remains draft until the standards take effect, while firms still need to translate the tick-size recommendations into controls suited to their instruments and venue rules.
